Terms of Use - for Compleye Online Platform

Applicability
These Terms of Use (ToU) govern the purchase and use of the Compleye Online Platform (the “Platform”).
The ToU, together with the Privacy Policy (PP), Data Processing Agreement (DPA), and Terms & Conditions (T&C), constitute the commercial agreement between Compleye and the client.
Intellectual Property and Scope
The Compleye Platform is protected by copyright, trademark, and other applicable laws. You may not use the Platform in any way that could result in infringement, dilution, misappropriation, or any other violation of Compleye’s or any third party’s intellectual property or proprietary rights.
Restrictions
You are expressly prohibited from:
- Bypassing or circumventing any technical limitations of the Platform;
- Reverse engineering, decompiling, or disassembling the Platform;
- Installing applications in cloud environments of the Platform, unless Compleye has provided explicit written permission confirming that such installation complies with the provided documentation, certification requirements, security requirements, and other terms outlined in the Agreement;
- Making copies of the Platform’s software;
- Publishing or distributing the Platform’s software, or encouraging others to do so;
- Renting, leasing, lending, or selling the Platform’s software or any reproductions thereof to third parties; or
- Using the Platform’s software for commercial services.
Responsibilities
You may only use the Platform in compliance with applicable law and these Terms of Use. You are solely responsible for your conduct and any content you publish or make available through the Platform.
Prohibited Actions
You are explicitly prohibited from:
- Misusing the Platform or assisting others in doing so, including interfering with the Platform or accessing it through any method other than the interface and instructions provided by Compleye;
- Using the Platform to transmit, store, display, distribute, or otherwise make available content that is:
- Defamatory, libelous, threatening, harassing, abusive, hateful, deceptive, fraudulent, obscene, pornographic, indecent, harmful to minors, or otherwise objectionable;
- Capable of damaging, interfering with, surreptitiously intercepting, or expropriating any system, program, or data;
- Probing, scanning, or testing the vulnerability of any system or network;
- Breaching or circumventing any security or authentication measures;
- Tampering with, hacking, interfering with, disrupting, or disabling the Platform, including through overloading, flooding, mailbombing, crashing, or denial-of-service attacks;
- Using any automated or manual device (e.g., robots, spiders, or site search/retrieval applications) to retrieve, index, scrape, data mine, or gather content from the Platform without Compleye’s express prior written consent;
- Violating any applicable law; or
- Violating the privacy or infringing the rights of others.
Account Security
You are responsible for safeguarding your account. This includes:
- Keeping your password secure;
- Enforcing two-factor authentication (2FA);
- Maintaining up-to-date account information; and
- Not sharing your account credentials or granting others access to your account.
Monitoring and Enforcement
Compleye reserves the right to review your behavior and any content you post to ensure compliance with these Terms of Use.
Reporting Violations
Compleye may report any suspected illegal or non-compliant activity to law enforcement officials, regulators, or other relevant third parties. Such reports may include disclosing customer data as required. Compleye may also cooperate with authorities or third parties to investigate and prosecute illegal conduct by providing relevant network and system information.
Suspension or Termination
If you violate these Terms of Use, Compleye has the right to suspend or terminate your access to the Platform. This right also applies if a breach occurs unintentionally or without your authorization, provided that such action is necessary, in Compleye’s judgment, to ensure compliance with applicable laws or to protect the rights, safety, privacy, security, or property of Compleye, its customers, or third parties.
Violation Reporting
If you become aware of any violation of these Terms of Use, you must immediately notify Compleye at info@compleye.io and assist Compleye, as requested, to stop or remedy the violation.
Liability and Indemnification
Compleye assumes no liability or responsibility for the Platform or its content, and you waive any existing or future claims against Compleye. You agree to indemnify Compleye for any liability resulting from your actions or failure to act, including any failure to safeguard your account credentials or passwords.
The law of the Netherlands applies to any disputes that may arise in connection with these ToU and such conflicts will be settled by Dutch Law.
